User Agreement Welcome to the Jones Direct, Ltd. ("Jones") auction service at CountryStars.com (the "Site"). Any person who desires access to the Site and registers to bid for items offered on the Site must accept the terms and conditions set forth in this User Agreement (this "Agreement") without change or alteration. PLEASE NOTE THAT WHEN YOU PRESS THE ACCEPT BUTTON, YOU AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, INCLUDING ALL POLICIES, PROCEDURES AND GUIDELINES INCORPORATED BY REFERENCE HEREIN. This Agreement governs the terms on which all items are offered and sold on the Site and creates a legal contract between each person registered to bid for any item offered on the Site (a "Buyer") and Jones. The terms and conditions set forth in this Agreement may be changed by Jones in the future. Any changes will be effective upon posting of the revisions on the Site. All notice of changes to this Agreement will be posted on the Site for thirty (30) days. You are responsible for reviewing the notice and any applicable changes. Changes to referenced policies and guidelines may be posted without notice to you. YOUR CONTINUED USE OF THE SITE FOLLOWING JONES' POSTING OF ANY CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES OR MODIFICATIONS. IF YOU DO NOT AGREE TO ANY CHANGES TO THIS AGREEMENT, YOU MAY NOT CONTINUE TO USE THE SITE. By accepting the terms and conditions set forth in this Agreement, you also agree to abide by the procedures and guidelines for conducting auctions explained on the Site. 1. Binding Obligation of Buyer; Payment. Each bid creates a binding and irrevocable obligation on the part of the Buyer, enforceable by Jones, to pay fully and promptly the purchase price and all other sums due, and perform any other conditions of completion with respect to the applicable sale, if that Buyer is the successful bidder. Once placed, a bid may not be canceled or withdrawn. Upon completion of an auction on the Site, you will be notified by e-mail if you are the successful bidder. Upon determination by Jones that you are the successful bidder, you will be liable to pay immediately the total purchase price for the item. If you are the successful bidder and if for any reason Jones is unable to charge your credit card in the amount of the total purchase price, your bid will be rejected and the item will be sold to the next bidder. 2. Limitations of Guarantees. All items offered on the Site are sold to Buyers "AS IS," and Jones makes no guarantees, warranties or representations, expressed or implied, to any Buyer with respect to the items, including without limitation its merchantability, fitness for a particular purpose, quality, rarity, importance or otherwise. No statement anywhere, whether oral or written, shall be deemed such a guarantee, warranty or representation. 3. Refusal of Transaction; Duration of Auction. Jones reserves the right to withdraw any item before the end of an auction period, halt, or extend any auction during its progress, and/or remove, screen or edit any materials or content on the Site. Jones may refuse to process a transaction for any reason or refuse service to anyone at any time in its sole discretion. Jones will not be liable to any Buyer or third party by reason of Jones' withdrawing any item before the end of the auction period; halting any auction during its progress; removing, screening or editing any materials or content on the Site; refusing to process a transaction or unwinding or suspending any transaction after processing has begun. 4. Eligibility to Use Site. Use of the Site is limited to parties that lawfully can enter into and form contracts and participate in auctions on the Site under applicable law. For example, minors and persons and entities domiciled in jurisdictions where online auctions are prohibited are not allowed to participate in auctions as a Buyer. To register, you must provide your real name, phone number, e-mail address, and other requested information. The Site is available only to individuals and others who meet the terms of eligibility, who have been issued a valid credit card by a bank acceptable to Jones, whose applications are acceptable to Jones and who have authorized Jones to process a charge or charges on their credit card in the amount of the total purchase price for any item for which they are the successful bidder. By registering to bid on the Site, you specifically authorize Jones to transmit registration information (including any updated information) or to obtain information about you from third parties from time to time, including but not limited to your credit-card number or credit reports (including credit reports for your spouse if you reside in a community property jurisdiction), to authenticate your identity, to validate your credit card, to obtain an initial credit-card authorization and to authorize individual purchase transactions for which you are the successful bidder. 5. Compliance with Laws. The Site may be used only for lawful purposes and in a lawful manner. You agree to comply with all applicable laws, statutes and regulations regarding use of the Site and any transactions conducted on or through the Site. 6. Disputes. Jones reserves the right to reject any bid at any time. In the event of identical bids, the first bid received by Jones will take precedence. In the event of any dispute between bidders, or in the event of doubt as to the validity of any bid, Jones will have the final discretion to determine the successful bidder. If any dispute concerning bidding arises after the sale, Jones' sale record is conclusive. Please note that Jones is not responsible for errors or omissions in connection with the transmission of bids to the Site, nor for any on-line or other charges you may incur in connection with participating in an auction. 7. Password Security. Your password may be used only to access the Site, use the services available on the Site, electronically sign your transactions and review your completed transactions. You are solely responsible for maintaining the security of your password. You may not disclose your password to any third party (other than third parties authorized by you to use your account), and you are solely responsible for any use of or action taken under your password on the Site. If your password is compromised, you must change your password. 8. Fraud. You may not register under a false name or use an invalid or unauthorized credit card. You may not make bids under a false name, impersonate any participant, or use another participant's password(s). Such fraudulent conduct is a violation of federal and state laws. Fraudulent conduct may be reported to law enforcement authorities, and Jones will cooperate to ensure that violators are prosecuted to the fullest extent of the law. 9. Title; Risk of Loss. When Jones delivers the item to the shipper for shipment to the Buyer, title to the item and risk of loss will pass to the Buyer. If the item is damaged in transit, the Buyer should contact the shipping agent and process a claim under the applicable insurance policy. Jones is not obligated to take an item back under this Agreement if it was damaged in transit. 10. Remedies for Buyer's Failure. If any applicable conditions of this Agreement are not complied with in a timely manner by the Buyer, in addition to other remedies available to Jones by law or in equity, including without limitation the right to hold the Buyer liable for the total purchase price, Jones may, at its option, cancel the sale and reoffer the item on the Site or sell it privately. In addition, Jones may hold the Buyer liable for any and all costs of collection or re-offer, handling charges, late charges of 18% per annum (or the highest rate allowed under applicable law), commissions and any legal fees and expenses. 11. Reserve Prices. Unless Jones specifies a "reserve price," all auction items are "without reserve," i.e., Jones must sell the auctioned item to the successful bidder that meets or exceeds the minimum price. If Jones sets an undisclosed reserve price, Jones is not obligated to sell unless the reserve price is met or exceeded. An item for which a reserve price has been set will be withdrawn from sale if no bid equal to or above the confidential reserve established by Jones is received during the sale period. Such items will be noted on the Site as being sold "subject to reserve." 12. Choice of Law; Venue. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Colorado. By accessing or using the Site, you irrevocably consent to the non-exclusive jurisdiction of the state courts of, and the federal courts sitting in, the State of Colorado with respect to any claim, action or proceeding arising out of or in connection with the Site, any transactions conducted on or through the Site and this Agreement, and that proper venue shall lie in the aforementioned courts, and you agree not to commence or prosecute any such claims, actions or proceedings other than in the aforementioned courts. 13. Privacy. Jones is committed to protecting your privacy. Click here for our general Privacy Policy. The Privacy Policy may be changed by Jones in the future. You should check the Privacy Policy frequently for changes. 14. Disclaimer of Warranties. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. JONES MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE SITE, ANY ITEMS OFFERED ON THE SITE OR ANY TRANSACTIONS THAT MAY BE CONDUCTED ON OR THROUGH THE SITE, INCLUDING WITHOUT LIMITATION: (i) THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; (ii) THAT THE SITE WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE OR OPERATE WITHOUT ERROR; (iii) ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE; AND (iv) ANY OBLIGATION, LIABILITY, RIGHT, CLAIM OR REMEDY IN TORT, WHETHER OR NOT ARISING FROM THE NEGLIGENCE OF JONES TO THE FULL EXTENT PERMISSABLE UNDER APPLICABLE LAW, JONES DISCLAIMS ANY AND ALL SUCH WARRANTIES. 15. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JONES WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, FOR LOST PROFITS, REVENUES OR DATA), ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE SITE, THE INABILITY TO USE THE SITE OR THOSE RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SITE. 16. Limited License. Jones grants a limited license to each user of the Site to make personal use only of the Site for bidding on and purchasing items on the Site. This license expressly excludes, without limitation, any resale or commercial use of the Site, making any derivative of the Site, the collection and use of participant e-mail addresses or other participant information, ratings or listings, or any data extraction or data mining whatsoever, including without limitation the reproduction of images found on the Site for any use other than viewing the property for the purpose of considering a bid. 17. Ownership. All content included on the Site, such as text, graphics, logos, button icons, images, audio clips and software, is the property of Jones or other content suppliers and is protected by U.S. and foreign copyright laws and international conventions. As between you and Jones, the compilation (meaning the collection, arrangement and assembly) of all content on the Site is the exclusive property of Jones or its licensors and is protected by U.S. and foreign copyright laws and international conventions. All software used on the Site is the property of Jones or its software suppliers and is protected by U.S. and foreign copyright laws and international conventions. The content and software on the Site may be used as a shopping resource. Any other use, including the reproduction, modification, distribution, transmission, republication, display or performance of the content on the Site, is strictly prohibited. 18. Termination. Jones, in its sole discretion, may terminate, without notice for any reason, the right of any user to participate in auctions conducted on the Site or to access the Site. 19. Severability; Nonwaiver. If any provision of this Agreement shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions. Jones' failure to exercise or forbearance from exercising any rights or remedies, or failure to enforce or forbearance from enforcing, the strict performance of any provision of this Agreement, will not constitute a waiver of Jones' right to exercise such rights or remedies or enforce such provision or any other provisions of this Agreement in that or any other instance. Any waiver of any provision of this Agreement by Jones must be made in writing and signed by an authorized representative of Jones. 20. Entire Agreement. This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes and cancels all prior and contemporaneous agreements, claims, representations and understandings of the parties in connection with the subject matter hereof.
